Biography

 James (Jim) Polehna is corporate secretary for Kelly Services, a global workforce solutions leader. In this role, he is responsible for the development and execution of the investor relations and corporate communications programs, managing the corporate governance function, and overseeing the executive compensation programs.  Mr. Polehna was appointed to his current position in 2017 and serves as the key point of contact for the investment community.  In addition to investor relations, he manages the company’s internal corporate communications program and oversees Kelly’s executive communication strategies, including the annual report, proxy statement and other financial briefing materials.  In his capacity as corporate secretary, Mr. Polehna is responsible for all compliance matters and corporate governance affairs affecting the company’s board of directors.  He manages corporate disclosure and compliance with state corporation laws, the stock exchange listing standards, and SEC reporting and compliance. As the overseer of Kelly’s executive compensation program, Mr. Polehna directs all aspects of senior officer compensation, including meeting materials and discussions with the board of director’s compensation committee.  He also has oversight of the compensation discussion and analysis portion of the company’s annual proxy statement.  Prior to his current role, Mr. Polehna was vice president and corporate secretary for Kelly Services.  He joined the company in 2001 as director and assistant secretary, and successfully launched the company’s first investor relations program. Previously, Mr. Polehna was an adjunct professor at Baker College and a vice president with Citizens Banking Corporation for 20 years.   He earned his Bachelor of Science degree and his MBA from the University of Michigan.  Mr. Polehna serves on the board of directors of the Citizens Research Council and is a member of the Global Investor Relations Executive Council of the Conference Board.  He is also a member of the Detroit Regional Chamber of Commerce, the Detroit Economic Club, the National Investor Relations Institute (NIRI), the Society of Corporate Secretaries & Governance Professionals, and the Public Relations Society of America (PRSA).
